Risontis – Terms of Service

1. Acceptance

By installing or using the Risontis Google Sheets add-on, the Risontis licensing backend, or related services, you agree to these Terms. If you are entering into these Terms on behalf of an organization, you represent that you have authority to bind that organization.

2. Service Description

Lean host / fat library architecture:
The host-layer Google Apps Script project lives inside the tenant’s Google Sheet. Runtime logic executes client-side. The shared Risontis core library performs the trading logic. A secure backend handles licensing and billing.

Zero-ops SaaS model:
Tenants operate the system independently. Risontis does not provide managed trading operations.

No financial advice or regulated service:
Risontis is not a broker, investment firm, asset manager, or execution-only provider under MiFID II or the Dutch Wft. The service does not constitute investment advice, portfolio management, or a personalized recommendation. All trading decisions remain the user’s responsibility.

3. Eligibility & Account Obligations

You must be at least 18 years old and legally capable of entering into contracts.
You must use a valid Google account and maintain accurate billing information.
You are responsible for complying with financial, tax, and exchange regulations in your jurisdiction.

4. Licensing & Payment

Licenses are assigned per Google Sheet (sheetId) and tied to the authenticated Google account email.

Billing, trials, upgrades, downgrades, and cancellations are handled via Stripe Billing.
Subscriptions renew automatically unless cancelled. No refunds for partial periods unless required by law.

Capital bracket enforcement may apply to certain plans.

Only supported and pinned library versions are permitted. Risontis may block or disable outdated or unsupported versions to maintain security and system integrity.

Support is provided only for minimum required and current pinned library versions. Use of outdated or unpinned versions is unsupported and may lead to degraded or unpredictable behaviour.

5. Tenant Responsibilities

API keys remain with the tenant.
Exchange credentials are stored only in the tenant’s Google UserProperties and are not transmitted to Risontis servers as part of normal operation.

Security:
You must protect access to your Google Sheet, rotate API keys when needed, and maintain proper access controls.

Data backups:
You are responsible for maintaining backups of your sheet and configuration.

Compliance:
You must comply with all applicable tax, financial, and exchange regulations.

6. Support & Service Levels

Email support is available on business days (CET) with a best-effort initial response within two business days.

Critical incidents receive priority handling.
Critical incidents include licensing lockouts, system unavailability, authentication failures, or security-related issues.

Risontis does not provide an on-call trading desk or managed-operation service.

7. Acceptable Use & Restrictions

You must not use the service for unlawful activities, including sanctions violations or market abuse.

You must not circumvent licensing, authentication safeguards, or rate limits.

Reverse engineering, copying, or attempting to extract proprietary components of the core library or backend is prohibited.
Tenant-owned host script code may be modified only at the tenant’s own risk; such modifications are unsupported and may degrade performance, destabilize automations, corrupt trading logic, or produce unpredictable or unsafe outcomes.

You must not resell or sublicense the add-on without a reseller agreement.

8. Intellectual Property

All intellectual property in the Risontis brand, core library, backend, and documentation remains the property of Risontis.
Users retain ownership of their Google Sheet content and trading data.

9. Confidentiality

Both parties must protect each other’s confidential information.
Tenant API keys, trading configurations, and support artifacts are treated as confidential.
Risontis may disclose information when legally required.

10. Data Protection

Personal data is processed in accordance with the Risontis Privacy Policy.
Risontis acts as Controller for licensing and billing data, and as Processor for support artifacts voluntarily supplied by tenants.

11. Disclaimer & Limitation of Liability

The service is provided “as is” without warranties of any kind, including merchantability, fitness for a particular purpose, non-infringement, or performance of any trading strategy.

Automated trading carries significant financial risk.
You are fully responsible for configuration choices, API key management, and trade outcomes.
Risontis does not guarantee profits, accuracy, uptime, or avoidance of losses.

To the maximum extent permitted by law, the total aggregate liability of Risontis for all claims in any 12-month period is limited to the total fees paid for the service in that period.

Risontis is not liable for indirect, incidental, special, exemplary, consequential, or punitive damages, including loss of capital, missed opportunities, data loss, or business interruption.

These limitations apply only to the extent permitted under applicable law. Mandatory consumer rights within the EU remain unaffected.

12. Indemnification

You agree to indemnify and hold Risontis harmless from claims arising from:
(a) your breach of these Terms,
(b) your violation of laws or regulations,
(c) disputes with exchanges or third parties related to your trading activity.

13. Suspension & Termination

Risontis may suspend or terminate access if billing lapses, abuse or fraud is detected, or as required by law.

Access normally ends at the end of the paid billing period.
In cases of fraud, abuse, or legal requirements, access may end immediately.

You must remove the add-on and purge any remaining secrets upon termination.
Sections 5–13 survive termination.

14. Governing Law & Dispute Resolution

These Terms are governed by Dutch law.
Parties submit to the exclusive jurisdiction of the courts of Amsterdam.
EU consumers retain all mandatory protections granted by local law, including rights related to liability, product conformity, and withdrawal where applicable.

15. Changes to the Terms

Risontis may update these Terms to reflect legal, technical, or operational changes.
Material updates will be communicated via release notes, email, or in-app notices.
Continued use of the service constitutes acceptance of the updated Terms.
